In these Terms, we, us and our mean Blank Space Store Limited. We operate this store and website, including all related information, content, features, tools, products and services (the Services). Blank Space is powered by Shopify, which enables us to provide the Services to you. These Terms of Service, together with the policies referred to in them, describe your rights and responsibilities when you use the Services.

Please read these Terms carefully. They include important information about your legal rights, and cover areas such as warranty disclaimers and limits on liability. By visiting, interacting with or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to them, you should not use or access the Services.

1. Access and account

By agreeing to these Terms of Service, you confirm that you are at least the age of majority in your country of residence, and that you consent to any of your minor dependents using the Services on devices you own, purchase or manage.

To use the Services, including browsing our online store or purchasing any of the products we offer, you may be asked to provide certain information, such as your email address and your billing, payment and shipping details. You confirm that the information you provide is correct, current and complete, and that you have the right to provide it.

You are responsible for keeping your account credentials secure and for all activity on your account. You may not transfer, sell, assign or license your account to anyone else.

2. Our products

We make every effort to represent our products accurately. Colour and appearance may differ from how they look on your screen, depending on your device and its settings.

We do not warrant that the appearance or quality of any product will meet your expectations or be identical to how it is shown in our online store.

Product descriptions may change at any time without notice. We may discontinue any product at any time, and may limit the quantities of any product we offer to any person, region or country.

3. Orders

When you place an order you are making an offer to purchase. We may accept or decline an order at our discretion. Your order is not accepted until we confirm acceptance, and we must receive and process your payment before an order is accepted. Please check your order before submitting it, as we may be unable to accommodate a cancellation once an order has been accepted. If we decline, change or cancel an order we will try to contact you using the email address, billing address or phone number given at the time of the order.

Purchases may be returned or exchanged in accordance with our Returns Policy. Delivery is covered by our Shipping page. You confirm that your purchases are for your own personal or household use and not for commercial resale or export.

4. Prices and billing

Prices, discounts and promotions may change without notice. The price charged is the price in effect at the time the order is placed, and is set out in your order confirmation email. Unless stated otherwise, posted prices do not include shipping, handling, customs or import charges.

Prices in our online store may differ from prices in our physical store or in stores operated by third parties. We may run promotions from time to time that are governed by their own terms. Where a promotion's terms conflict with these Terms, the promotion's terms apply.

You agree to provide current, complete and accurate purchase, payment and account information, and to keep it up to date so that we can complete your transactions and contact you when needed. You confirm that the payment details you provide are correct, that you are authorised to use that payment method, and that you will pay the charges you incur at the posted prices, including shipping and any applicable taxes.

5. Shipping and delivery

All delivery times are estimates and are not guaranteed. We are not responsible for delays caused by carriers, by customs processing, or by events outside our control. Once we hand products to the carrier, title and risk of loss pass to you.

6. Intellectual property

Our Services, including all trade marks, text, images, graphics, product photography, video and audio, and the selection and arrangement of them, are owned by Blank Space Store Limited or its licensors and are protected by New Zealand and international copyright, trade mark and other intellectual property laws.

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store or transmit any of the material on the Services without our prior written consent. Nothing in these Terms grants you a licence or other rights under any patent, trade mark, copyright or other intellectual property of Blank Space Store Limited, Shopify or any third party. Unauthorised use of the Services may breach intellectual property laws. All rights not expressly granted are reserved.

The Blank Space name, logo, product and service names, designs and slogans are trade marks of Blank Space Store Limited. You must not use them without our prior written permission. Shopify's name, logo, product and service names, designs and slogans are trade marks of Shopify. All other names, logos and marks on the Services belong to their respective owners.

7. Optional tools

You may be given access to tools offered by third parties that we neither monitor nor control. We provide access to those tools as is and as available, without warranties, representations or conditions of any kind and without endorsement. We have no liability arising from your use of optional third-party tools.

Any use of those tools is at your own risk and discretion, and you should make sure you are familiar with and approve of the terms on which the third-party provider supplies them. We may offer new features through the Services in future. Those features also form part of the Services and are subject to these Terms.

8. Third-party links

The Services may contain material and links to websites operated by third parties, including embedded third-party functionality. We are not responsible for examining or evaluating the content or accuracy of third-party material or websites. If you leave the Services to access them, you do so at your own risk.

We are not liable for any harm or damage relating to your access of third-party websites, or your purchase or use of any products, services or content on them. Please review the third party's policies and practices before you transact with them. Complaints, claims or questions about third-party products and services should be directed to that third party.

9. Relationship with Shopify

Blank Space is powered by Shopify, which enables us to provide the Services to you. Any sale or purchase you make in our store is made directly with Blank Space Store Limited. You acknowledge that Shopify is not responsible for any aspect of a sale between you and us, including any injury, damage or loss resulting from products purchased. You release Shopify and its affiliates from all claims, damages and liabilities arising from your purchases and transactions with us.

10. Privacy

All personal information we collect through the Services is subject to our Privacy Policy. Certain personal information may also be subject to Shopify's Consumer Privacy Policy. By using the Services you acknowledge that you have read both.

Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve them. Information you submit will be transmitted to and shared with Shopify and with third parties that may be located in countries other than the one you live in. Our Privacy Policy has more detail on how we, Shopify and our partners use your personal information.

11. Feedback

If you submit any ideas, suggestions, feedback, reviews, proposals or other content (Feedback), you grant us a perpetual, worldwide, sublicensable, royalty-free licence to use, reproduce, modify, publish, distribute and display that Feedback in any medium for any purpose, including commercial use.

You confirm that you own or have all necessary rights to your Feedback, that you have disclosed any compensation or incentive received in connection with it, and that it complies with these Terms. We are under no obligation to keep Feedback confidential, to pay for it, or to respond to it.

We may, but are not obliged to, monitor, edit or remove Feedback that we consider unlawful, offensive, threatening, defamatory, obscene or otherwise objectionable, or that infringes anyone's intellectual property or these Terms.

Your Feedback must not infringe any third party's rights, including copyright, trade mark, privacy or other personal or proprietary rights. It must not be defamatory, abusive or obscene, and must not contain a virus or other malware. You may not use a false email address, impersonate another person, or otherwise mislead us as to the origin of any Feedback. You are responsible for your Feedback and its accuracy.

12. Errors, inaccuracies and omissions

Occasionally there may be information in the Services containing typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times or availability. We reserve the right to correct any error, inaccuracy or omission, and to change or update information or cancel orders where information is inaccurate, at any time and without prior notice, including after you have submitted an order.

13. Prohibited uses

You may access and use the Services for lawful purposes only. You may not use the Services, directly or indirectly: for any unlawful or malicious purpose; to breach any applicable law, regulation or bylaw; to infringe our intellectual property rights or those of others; to harass, abuse, insult, harm, defame, disparage or intimidate our staff or any other person; to transmit false or misleading information; to send or procure the sending of advertising or promotional material, including junk mail, chain letters or spam; to impersonate any other person or entity; or to engage in conduct that restricts or inhibits anyone else's use of the Services, or that may harm Blank Space, Shopify or other users, or expose them to liability.

You also agree not to upload or transmit viruses or other malicious code; to reproduce, duplicate, copy, sell or resell any part of the Services; to collect or track the personal information of others; to spam, phish, pharm, pretext, spider, crawl or scrape; or to interfere with or circumvent the security features of the Services or any related website. We may suspend, disable or terminate your account at any time, without notice, if we determine that you have breached any part of these Terms.

14. Termination

We may terminate this agreement or your access to the Services, or any part of them, at our discretion and at any time without notice. You remain liable for all amounts due up to and including the date of termination.

The following sections continue to apply after termination: Intellectual property, Feedback, Termination, Disclaimer of warranties, Limitation of liability, Indemnity, Severability, Waiver and entire agreement, Assignment, Governing law and Privacy, together with any other provision that by its nature should survive.

15. Your rights as a consumer

Nothing in these Terms limits or excludes the consumer rights you have under the law where you live. Those rights sit alongside these Terms and take precedence over anything in these Terms that would reduce them. This applies whichever law governs these Terms.

New Zealand. Where you buy from us as a consumer, the guarantees in the Consumer Guarantees Act 1993 and your rights under the Fair Trading Act 1986 apply and are not excluded.

Australia. Where you buy from us as a consumer in Australia, our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and to compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if they are not of acceptable quality and the failure does not amount to a major failure.

Elsewhere. If you buy from us somewhere else, any consumer rights you have that cannot be contracted out of under the law of that country continue to apply.

Where you acquire goods or services from us for the purposes of a business, the parties agree that the Consumer Guarantees Act 1993 does not apply, to the extent permitted by section 43 of that Act.

16. Disclaimer of warranties

The information presented through the Services is made available for general information only. We do not warrant its accuracy, completeness or usefulness. Any reliance you place on it is at your own risk.

Subject to the section above on your rights as a consumer, and except as expressly stated by us, the Services and all products offered through them are provided as is and as available, without representation, warranty or condition of any kind, express or implied, including implied warranties of merchantability, merchantable quality, fitness for a particular purpose, durability, title and non-infringement. We do not guarantee that your use of the Services will be uninterrupted, timely, secure or error-free.

17. Limitation of liability

Subject to the section above on your rights as a consumer, and to the fullest extent permitted by law, neither Blank Space Store Limited nor our partners, directors, officers, employees, affiliates, agents, contractors, service providers or licensors, nor those of Shopify and its affiliates, will be liable for any injury, loss or claim, or for any direct, indirect, incidental, punitive, special or consequential damages of any kind, including lost profits, lost revenue, lost savings, loss of data, replacement costs or similar damages, whether in contract, tort (including negligence), strict liability or otherwise, arising from your use of the Services or of any product obtained through them, or from any other claim relating in any way to your use of the Services or any product, including any error or omission in any content, or any loss or damage arising from content posted, transmitted or otherwise made available through the Services, even if we have been advised of the possibility.

18. Indemnity

You agree to indemnify and hold harmless Blank Space Store Limited, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers from any loss, damage, liability or claim, including reasonable legal costs, payable to a third party arising out of your breach of these Terms or the documents they incorporate, your breach of any law or of the rights of a third party, or your access to and use of the Services.

We will notify you of any claim we seek to be indemnified for. A failure to notify promptly does not relieve you of your obligations unless you are materially prejudiced by it. We may control the defence and settlement of a claim at your expense, including the choice of counsel, but will not settle a claim that imposes non-monetary obligations on you without your consent, which will not be unreasonably withheld. You will cooperate in the defence of indemnified claims, including by providing relevant documents.

19. Severability

If any provision of these Terms is found to be unlawful, void or unenforceable, that provision is still enforceable to the fullest extent permitted by law, and the unenforceable part is severed from these Terms. That does not affect the validity or enforceability of the remaining provisions.

20. Waiver and entire agreement

Our failure to exercise or enforce any right or provision of these Terms is not a waiver of that right or provision.

These Terms, together with any policies or operating rules we post on this website, are the entire agreement between you and us and govern your use of the Services, superseding any prior agreements, communications and proposals, whether oral or written, including any earlier version of these Terms. Any ambiguity in the interpretation of these Terms will not be construed against the drafting party.

21. Assignment

You may not delegate, transfer or assign this agreement or any of your rights or obligations under these Terms without our prior written consent, and any attempt to do so is void. We may transfer, assign or delegate these Terms and our rights and obligations without your consent or notice to you.

22. Governing law

These Terms, and any separate agreement under which we provide you the Services, are governed by and construed in accordance with the laws of New Zealand. You and Blank Space Store Limited submit to the non-exclusive jurisdiction of the courts of New Zealand. Nothing in this section limits any consumer rights you have under section 15.

23. Changes to these terms

We may update, change or replace any part of these Terms by posting the updated Terms on this website. It is your responsibility to check this page from time to time. We will notify you of any material change as required by law, and the change takes effect on the date specified in the notice. Your continued use of the Services after a change is posted means you accept it.
